NO PURCHASE NECESSARY.  A PURCHASE OR PAYMENT OF ANY KIND WILL NOT INCREASE YOUR CHANCES OF WINNING.  VOID IN AK, HI AND WHERE PROHIBITED.

BY PARTICIPATING IN THIS SWEEPSTAKES, YOU AGREE TO THESE OFFICIAL RULES, WHICH ARE A CONTRACT, SO READ THEM CAREFULLY BEFORE PARTICIPATING.  WITHOUT LIMITATION, THIS CONTRACT PROVIDES FOR A RELEASE OF THE SPONSOR AND ADMINISTRATOR, A CLASS ACTION AND JURY TRIAL WAIVER, A REQUIREMENT THAT MOST DISPUTES BE SETTLED BY MANDATORY BINDING ARBITRATION, AND A LIMITATION OF YOUR RIGHTS AND REMEDIES.

1.  Eligibility: Unlimited Sips, Ultimate Trips is a sweepstakes (the “Sweepstakes”) open only to legal residents of the forty-eight (48) contiguous United States and the District of Columbia (not open to legal residents of Alaska or Hawaii), who are at least eighteen (18) years old at the time of entry and are enrolled in the MyPanera® program.  Employees of Panera, LLC (“Sponsor”), Merkle Inc. (“Administrator”), PepsiCo (“Prize Provider”), or any franchisee entity operating a Panera cafe, Pepsi-Cola Company and its bottlers (collectively “Promotion Parties”), as well as the immediate family (spouse, parents, siblings, and children) and household members of each such employee are not eligible.  The Sweepstakes is subject to all applicable federal, state, and local laws and regulations and is void where prohibited.  Participation in the Sweepstakes constitutes entrant’s full and unconditional agreement to these Official Rules. Sponsor’s and Administrator's decisions are final and binding in all matters related to the Sweepstakes.  

2.  Sponsor and Administrator: Sponsor: Panera, LLC, 1400 South Highway Drive, Suite 100, Fenton, MO 63026.  Administrator: Merkle Inc. (formerly known as HelloWorld, Inc.), 3000 Town Center, Suite 2100, Southfield, MI 48075.

3.  Timing: The Sweepstakes begins on September 25, 2024 at 12:00 a.m. Pacific Time (“PT”) and ends on October 31, 2024 at 11:59 p.m. PT (the "Promotion Period"), The Promotion consists of six (6) “Weekly Entry Period” drawings; and drawings for First Prizes and Grand Prizes that include all entries earned/requested during the entire Promotion Period as set forth in the chart below. Sponsor’s servers are the official time-keeping device for the Sweepstakes.

4.  How to Enter: All entrants must be enrolled in the MyPanera® program to receive any entry. The MyPanera program is free and is subject to its Terms and Conditions: https://www.panerabread.com/en-us/legal/terms-of-use.html#additionaltermsmypanera, and  Privacy Policy: https://www.Panerabread.com/en-us/legal/your-privacy.html.

There are two (2) ways to enter:

A.  Make Qualified Panera Purchases:

Participation Requirements: Entrants who participate by making purchases must be enrolled in the Panera Unlimited Sip Club® at the times that they make purchases with their MyPanera account to receive an entry. The Unlimited Sip Club costs $14.99 per month (or $119.99 for an annual subscription) and is subject to its terms: https://www.panerabread.com/en-us/mypanera/subscription/terms-and-conditions.html and Privacy Policy https://www.Panerabread.com/en-us/legal/your-privacy.html.

How to Earn Entries: During the Promotion Period take the following actions:

(i) If you are already an Unlimited Sip Club member before September 25, 2024, you must first opt in to participate in this Sweepstakes and agree to these Official Rules. You can do so by either visiting Panerabread.com/UnlimitedSipsUltimateTrips and following the directions to opt in or you can do so through the Panera iOS mobile app by locating the “Unlimited Sips Ultimate Trips” tile and clicking on “Activate”.  Panera Android mobile app users will need to opt in to participate by visiting Panerabread.com/UnlimitedSipsUltimateTrips and following the directions to opt in. Once you have completed this step, you will earn Sweepstakes entries for each “Qualified Purchase” as defined here:

o   Make an in-cafe or online purchase through panerabread.com or in the Panera mobile app of at least $7 (excluding taxes/fees/charges and Unlimited Sip Club subscription fees).  Purchase of gift cards and catering orders do not qualify towards the $7 minimum purchase.

§  If your purchase is in-cafe you must provide your phone number or email address associated with your MyPanera account or your MyPanera account number.

§  If you make an online purchase or in app purchase, you must be logged into your MyPanera account.

§  Orders through a third-party delivery service platform/application do not qualify for an entry in the Sweepstakes.

You will receive one (1) Sweepstakes entry into the applicable Weekly Entry Period drawing based on the date/time of your Qualified Purchase as well as one (1) Sweepstakes entry into both the Grand Prize and First Prize drawings.  Entries applicable to a Weekly Entry Period will not be included in any subsequent Weekly Entry Periods.

(ii) If you become an Unlimited Sip Club member on or after September 25, 2024, you will earn a Sweepstakes entry for each Qualified Purchase (as defined above). You will receive one (1) Sweepstakes entry into the applicable Weekly Entry Period drawing based on the date/time of your Qualified Purchase as well as one (1) Sweepstakes entry into the Grand Prize drawing. Orders through a third-party delivery service platform/application do not qualify for an entry in the Sweepstakes.

B.  Enter By Mail:

To enter without purchase, print your name, address, phone number, email address, and date of birth on a piece of paper (herein “Mail-in Request”).  Entrant must either provide their MyPanera number or identify whether the email address or phone number is associated with their MyPanera account.  Mail the Mail-in Request in an envelope with proper postage to Unlimited Sips, Ultimate Trips,” c/o Merkle Inc., P.O. Box 5025, Department 864736, Kalamazoo, MI 49003-5025. Mail-in Requests created using bots or any type of automation will not be accepted.  You must include the Weekly Entry Period on the front of your envelope as well (example Week 1). Your Mail-in Request must be received by the date indicated in the chart in Section 3. If timely, you will receive one (1) entry into the designated Weekly Entry Period drawing and one (1) entry into both the Grand Prize and First Prize drawings. Limit: One (1) Mail-in Request per envelope. All Mail-in Requests must be mailed by October 31, 2024 and received by November 7, 2024. All entries become the exclusive property of Sponsor and none will be acknowledged or returned.  Proof of sending or submission will not be deemed to be proof of receipt by Sponsor. Sponsor is not responsible for lost, late, incomplete, invalid, unintelligible, illegible, misdirected or postage-due entries, which will be disqualified.

Entry Limit: Entrants can earn or request up to thirty (30) entries for each Weekly Entry Period by any combination of Qualifying Purchases or Mail-in Requests.  Accordingly, Entrants can receive a maximum of one hundred eighty (180) entries into both the Grand Prize and First Prize drawings.

Additional Limitations for All Entrants: Multiple entrants are not permitted to share the same email address.  Any attempt by any entrant to obtain more than the stated number entries by using multiple/different email addresses, identities, MyPanera accounts, registrations and logins, or any other methods will void that entrant's entries and that entrant may be disqualified.  Sponsor and Administrator are not responsible for lost, late, incomplete, invalid, unintelligible, or misdirected entries, which will be disqualified.  In the event of a dispute as to the identity of an entrant, Sponsor and Administrator will rely on the information submitted by the entrant to register/enroll in the MyPanera program and the Panera Unlimited Sip Club.  If any additional information provided by entrant is inconsistent with the information provided at enrollment into the MyPanera program and the Panera Unlimited Sip Club, Sponsor and/or Administrator may disqualify such entrant and such disqualification may result in the forfeiture of any prizes won.  Sponsor, in its discretion, may require additional documentation from entrant to show proof of entrant’s identity.

5.  Prize Drawing: Administrator is an independent organization whose decisions as to the selection of the potential winners are final and binding.  Administrator will randomly select the potential Sweepstakes winners from all eligible entries received for each drawing on or around the dates listed in Section 3.  All potential winners will be notified by email.  The drawing for potential Grand Prize winners will be conducted prior to the drawing for the potential First Prize winners.  Each potential Grand Prize winner (or parent/legal guardian if winner is considered a minor under the law of their state of residence) will be required to provide their name, home mailing address (P.O. Boxes are not permitted), and date of birth to confirm eligibility when they complete, sign and return a Declaration of Compliance, Liability Waiver and, where not prohibited, a Publicity Release (collectively the "Declaration") which must be received by Administrator within five (5) days of the date notice or attempted notice is sent, in order to claim the prize. Potential winners of all other prizes will be required to provide their name, home mailing address (P.O. Boxes are not permitted), and date of birth to confirm eligibility for purposes of prize fulfillment within three (3) days of the date notice or attempted notice is sent, in order to claim the prize.  If a potential winner of any prize cannot be contacted, fails to sign and return the Declaration or provide any other requested information within the required time period, or the prize is returned as undeliverable, the potential winner forfeits the prize.  Receiving a prize is contingent upon compliance with these Official Rules.  In the event that a potential winner is disqualified for any reason or forfeits the prize, Sponsor will award the applicable prize to an alternate winner by random drawing from among all remaining eligible entries. Only three (3) alternate drawings will be held, after which the prize will remain unawarded.

6. Prizes, Approximate Retail Value (“ARV”), and Odds of Winning:

A.  Grand Prize Drawing Prizes

THREE (3) GRAND PRIZES: Each Grand Prize winner can select one (1) trip for winner and one (1) travel companion to either Rome, Italy, Athens, Greece or Paris, France.  Details for each trip as follows:

Rome, Italy:  Trip package includes round trip, coach-class air transportation for two (2) from a major airport near winner’s home (determined by Prize Provider in its sole discretion) to Rome, Italy; six (6) nights' accommodations at a hotel selected by Prize Provider in its sole discretion (single room, double occupancy); US$1,500 allowance for meals and other discretionary expenses; round trip ground transportation to and from destination airport and hotel; and US $1,400 allowance to select up to three (3) experiences (details to be determined by Prize Provider in its sole discretion)  Winner will also receive a cash prize (fulfilled as a check) for US$5,717 that may be used to assist with federal, state, and other tax obligations.  ARV:  $19,057.

Athens, Greece: Trip package includes round trip, coach-class air transportation for two (2) from a major airport near winner’s home (selected by Prize Provider in its sole discretion) to Athens, Greece; four (4) nights' accommodations at a hotel in Athens and two (2) nights’ accommodations at hotel in Santorini (all hotel rooms are determined by Prize Provider  and are single room, double occupancy); round trip ground transportation to and from destination airport and hotel and roundtrip ferry trip between Athens and Santorini; US$1,500 allowance for meals and other discretionary expenses; and US$1,400 allowance to select up to three (3) experiences (details to be determined by Prize Provider in its sole discretion). Winner will also receive a cash prize (fulfilled as a check) for US$6,471 that may be used to assist with federal, state, and other tax obligations.  ARV: $21,571.

Paris, France:  Trip package includes round trip, coach-class air transportation for two (2) from a major airport near winner’s home (selected by Prize Provider in its sole discretion) to Paris, France; five (5) nights' accommodations at a hotel determined by Prize Provider in its sole discretion (single room, double occupancy); a US$1,500 allowance for meals and other discretionary expenses; ground transportation to and from destination airport and hotel; and US$1,400 allowance to select up to three (3) experiences (details to be determined by Prize Provider in its sole discretion). Winner will also receive a cash prize (fulfilled as a check) for US$6,514 that may be used to assist with federal, state, and other tax obligations.  ARV:  $21,714.

For Each Trip: Winner must complete the trip by December 31, 2025 or prize will be forfeited.  Winner will receive an IRS Form 1099 reporting the value of the prize.  Each Grand Prize winner is solely responsible for all applicable federal, state, or other tax obligations related to the Grand Prize. Prize Provider will not provide any further assistance toward the winner’s tax obligation.

Trip must be booked at least thirty (30) days prior to departure. Travel and accommodations are subject to availability and blackout dates. Travel must be round trip.  Prize Provider will determine airline and flight itinerary in its sole discretion. No refund or compensation will be made in the event of the cancellation or delay of any flight.  Travel is subject to the terms and conditions set forth in this Sweepstakes, and those set forth by the Prize Provider’s airline carrier of choice as detailed in the passenger ticket contract. All expenses and incidental travel costs not expressly stated in the package description above, including but not limited to, ground transportation, meals, incidentals, gratuities, passenger tariffs or duties, airline fees, surcharges, airport fees, service charges or facility charges, passport fees, personal charges at lodging, security fees, taxes or other expenses are the responsibility solely of winner. Winner must have proper identification and a valid credit card for hotel check-in and to cover incidental expenditures. Unless a child of winner, travel companion must be eighteen (18) years of age or older as of the date of departure and must travel on same itinerary and at the same time as the winner. Travel companion must execute liability/publicity releases prior to issuance of travel documents.  Winner and travel companions are solely responsible for obtaining valid passports and any other documents necessary for international travel. Travel restrictions, conditions and limitations may apply, including age and ability restrictions on excursion and event options and there will be no refund or credit of any kind for an inability to participate by winner and/or travel companion. By traveling and attending event, winner and winner’s travel companion voluntarily assume all risks related to exposure to COVID-19 and any and all other existing or potential health and safety risks. Winner and travel companion are responsible for complying with any COVID-19 and other requirements set forth by airline, hotels, excursion and event venues or other vendors offering services that are part of the trip prize. Failure to comply with any required COVID-19 or other requirements, may result in forfeiture of the prize or elements of the prize. Forfeiture of any aspect of the trip due to failure to meet these requirements will not impact the value of the trip as reported on an IRS Form 1099. Prize Provider will not replace any lost, mutilated, or stolen tickets, travel vouchers or certificates. Actual value may vary based on airfare and hotel price fluctuations and distance between departure and destination.  Winner will not receive difference between actual and approximate retail value. 

ONE HUNDRED (100) FIRST PRIZES:  Winner will receive one (1) $500 eGift Card that can be redeemed for air travel, hotel, car rentals and experiences through designated partners. ARV: $500.

Weekly Prizes:

SIXTY (60) UNLIMITED SIP CLUB PRIZES (10 awarded each Weekly Entry Period): One (1) year of Unlimited Sip Club Annual Membership, fulfilled as a digital code, which must be redeemed by May 31, 2025 or the prize will be forfeited. Unlimited Sip Club membership is subject to its terms: https://www.panerabread.com/en-us/mypanera/subscription/terms-and-conditions.html.  ARV: $119.99.

SIXTY (60) PANERA BREAD GIFT CARD PRIZES (10 awarded each Weekly Entry Period): $500 in Panera Bread eGiftcards.  ARV:  $500

SIXTY (60) PEPSI TRAVEL ACCESSORIES PRIZES (10 awarded each Weekly Entry Period): A prize package including the following Pepsi branded items:  two (2) three-piece luggage sets and one (1) pair of noise canceling earbuds.  ARV:  $520.

SIXTY (60) STARRY TRAVEL ACCESSORIES PRIZES (10 awarded each Weekly Entry Period): A prize package including the following Starry branded items:  two (2) three-piece luggage sets and one (1) pair of noise canceling earbuds.  ARV:  $520.

B.         Total ARV: The maximum total ARV of all available prizes in the Sweepstakes is $214,741.40.

C.         Odds of Winning: The odds of winning a Weekly Entry Period prize depend on the total number of eligible entries received for the applicable Weekly Entry Period.  The odds of winning a Grand or First Prize depend on the total number of eligible entries received during the Promotion Period.

For All Prizes: Prizes are non-transferable, and no substitution will be made except as provided herein at the Sponsor’s sole discretion. Sponsor reserves the right to substitute a prize for one of equal or greater value if the designated prize should become unavailable for any reason. Winners are responsible for all taxes and fees associated with prize receipt and/or use. Winners of a prize equal to or greater than $600 will receive an IRS Form 1099 MISC reporting the actual value of the prize received. ARVs are determined as of the time these Official Rules were published and the value of a prize may fluctuate. A winner is not entitled to any difference between the ARV and the actual value of the prize at the time the prize is awarded. Where applicable, prize style, color, size, features and all other details will be determined by Sponsor in its sole discretion. All other costs and expenses associated with acceptance of the prize that are not expressly set forth herein shall be solely the winner’s responsibility. Prizes are provided “as is” without warranty of any kind, either express or implied, including but not limited to, the implied warranties of merchantability, fitness for a particular purpose or non-infringement. Prizes (except Grand Prizes) will be fulfilled approximately 8-10 weeks after Sweepstakes conclusion.  Grand Prize winners will be connected to a travel agent within approximately 8-10 weeks after Sweepstakes conclusion. Limit of one (1) prize of each prize type per person.  Limit one (1) weekly prize in a Weekly Entry Period per winner.

7. Release: By receipt of any prize, winners agree to release and hold harmless Promotion Parties and their respective subsidiaries, affiliates, franchisees, suppliers, distributors, advertising/promotion agencies, and prize suppliers, and each of their respective parent companies and each such company’s officers, directors, employees and agents (collectively, the “Released Parties”) from any and all actions, claims, injury, loss or damage arising in any manner, directly or indirectly, from participation in this Sweepstakes and/or acceptance, use, inability to use, misuse or redemption of a prize (including any death, injury or harm related thereto), and including without limitation, any such actions, claims, injury, loss or damage related to or caused by a winners’ travel companion in connection with the Grand Prize.

8. Publicity: Except where prohibited, participation in the Sweepstakes constitutes each winner’s consent to Sponsor’s and its agents’ use of winner’s name, prize information, likeness, photograph, social handle, voice, opinions and/or hometown and state for promotional purposes in any media, worldwide, without further payment or consideration. Sponsor is not obligated to use any of the above-mentioned information or publicity materials but may do so and edit such information or materials at its sole discretion, without further obligation or compensation.

9. General Conditions: Sponsor reserves the right, in its sole discretion to cancel, terminate, modify or suspend the Sweepstakes should a virus, bug, bot, technical failures, human error, non-authorized human intervention, fraud, or any other factors or causes impair, corrupt, or affect the administration, security, fairness, or proper functioning of the Sweepstakes, or any event or cause beyond Sponsor’s control (including, without limitation,  natural calamities, national emergencies, wide spread illnesses, epidemics, pandemics, declarations of war, acts of God, acts of terrorism) interferes with any aspect of the Sweepstakes, including without limitation fulfillment of the prize(s), as determined by Sponsor in its sole discretion. In such event, Sponsor, in its sole discretion, may elect to hold a random drawing from among all eligible entries received up to the date of discontinuance and may modify the prizes offered herein. Sponsor reserves the right, in its sole discretion, to disqualify any individual it finds to be tampering with the entry process or the operation of the Sweepstakes, including but, not limited to submitting fraudulent entries, or to be acting in violation of the Official Rules of this Sweepstakes or in an unsportsmanlike or disruptive manner. Any attempt by any person to deliberately undermine the legitimate operation of the Sweepstakes may be a violation of criminal and civil law, and, should such an attempt be made, Sponsor reserves the right to seek damages from any such person to the fullest extent permitted by law. Sponsor’s failure to enforce any term of these Official Rules shall not constitute a waiver of that provision. In no event will more prizes than are stated in these Official Rules be awarded. If, for any reason, more prize notifications are sent (or more claims are received) than the number of prizes offered, as set forth in these Official Rules, Sponsor reserves the right to only award the intended number of prizes through a random drawing from among all eligible prize claims received. In the event there is a discrepancy or inconsistency between any other statements contained in any Sweepstakes-related materials and the Official Rules as posted online, the Official Rules as posted online shall prevail, govern, and control.

10.  Limitations of Liability: The Released Parties are not responsible for: (A) any incorrect or inaccurate information either caused by printing errors or by any of the equipment or programming associated with or utilized in the Sweepstakes or provided by entrants; (B) technical failures of any kind, including, but not limited to malfunctions, interruptions, or disconnections to the internet, in phone lines or network hardware or software, or any failures due to entrant’s equipment, browser, or app configurations, blockers, permissions, or other settings of any type; (C) unauthorized human intervention in any part of the Sweepstakes, including but not limited to the entry process; (D) technical or human error which may occur in the administration of the Sweepstakes, including but not limited to the processing of entries; (E) late, lost, undeliverable, damaged or stolen mail; or (F) any injury or damage to persons or property which may be caused, directly or indirectly, in whole or in part, from entrant’s participation in the Sweepstakes, or to the receipt, use, inability to use, or misuse of any prize. If for any reason an entrant's entry is confirmed to have been erroneously deleted, lost, or otherwise destroyed or corrupted, entrant’s sole remedy is another entry in the Sweepstakes, if it is possible.

11.  Disputes: Except as set forth below, entrant, Sponsor, Administrator and Prize Provider agree that we will resolve all existing and future disputes between us through binding and final arbitration instead of through court proceedings. Entrant, Administrator, Prize Provider and Sponsor each hereby waive any right to a jury trial of any Claim, as that term is defined below. All controversies, claims, counterclaims, or other disputes arising between entrant, Sponsor, Prize Provider and Administrator (each a “Claim”) shall be submitted for binding arbitration in accordance with the Consumer Rules of the American Arbitration Association (“AAA Rules”). The arbitration will be heard and determined by a single arbitrator. The arbitrator's decision in any such arbitration will be final and binding upon the parties and may be enforced in any court of competent jurisdiction. Entrant, Sponsor, Prize Provider and Administrator each agree that the arbitration proceedings will be kept confidential and that the existence of the proceeding and any element of it (including, without limitation, any pleadings, briefs or other documents submitted or exchanged and any testimony or other oral submissions and awards) will not be disclosed beyond the arbitration proceedings, except as may lawfully be required in judicial proceedings relating to the arbitration, by applicable disclosure rules and regulations of securities regulatory authorities or other governmental agencies, or as specifically permitted by state law. The Federal Arbitration Act and federal arbitration law apply to these Official Rules. However, the arbitrator, and not any federal, state, or local court or agency, shall have the exclusive authority to resolve any dispute relating to the interpretation, applicability, enforceability, scope or formation of these Official Rules including, but not limited to, a claim that all or any part of these Official Rules is void or voidable.

If the entrant demonstrates that the costs of arbitration will be prohibitive as compared to the costs of litigation, Sponsor will pay as much of the administrative costs and arbitrator's fees required for the arbitration as the arbitrator deems necessary to prevent the cost of the arbitration from being prohibitive. In the final award, the arbitrator may apportion the costs of arbitration and the compensation of the arbitrator among the parties in such amounts as the arbitrator deems appropriate.

This arbitration agreement does not preclude any party from seeking action by federal, state, or local government agencies. Entrant, Sponsor, Prize Provider and Administrator each also have the right to bring qualifying claims in small claims court. In addition, entrant, Sponsor, Prize Provider and Administrator retain the right to apply to any court of competent jurisdiction for provisional relief, including pre-arbitral attachments or preliminary injunctions, and any such request shall not be deemed incompatible with these Official Rules, nor a waiver of the right to have disputes submitted to arbitration as provided herein.

Neither entrant, Sponsor, Prize Provider nor Administrator may act as a class representative or private attorney general, nor participate as a member of a class of claimants, with respect to any Claim. Claims may not be arbitrated on a class or representative basis. The arbitrator can decide only each entrant’s, Sponsor’s, Prize Provider’s and Administrator’s individual Claims. The arbitrator may not consolidate or join the claims of other persons or parties who may be similarly situated. The arbitrator may award in the arbitration the same damages or other relief available under applicable law subject to any applicable limitation of liability, including injunctive and declaratory relief, as if the action were brought in court on an individual basis. Notwithstanding anything to the contrary in the foregoing or herein, the arbitrator may not issue a “public injunction” and any such “public injunction” may be awarded only by a federal or state court, which that party shall be permitted to pursue in the appropriate court. If either party seeks a “public injunction,” all other claims and prayers for relief must be adjudicated in arbitration first and any prayer or claim for a “public injunction” in federal or state court stayed until the arbitration is completed, after which the federal or state court can adjudicate the party’s claim or prayer for “public injunctive relief.” Including a claim for “public injunctive relief” in any complaint shall not deprive the arbitrator of any right to hear and adjudicate all other claims in arbitration. In doing so, the federal or state court is bound under principles of claim or issue preclusion by the decision of the arbitrator.

THIS SECTION LIMITS CERTAIN RIGHTS, INCLUDING THE RIGHT TO MAINTAIN A COURT ACTION, THE RIGHT TO A JURY TRIAL, THE RIGHT TO PARTICIPATE IN ANY FORM OF CLASS OR REPRESENTATIVE CLAIM, THE RIGHT TO ENGAGE IN DISCOVERY EXCEPT AS PROVIDED IN AAA RULES, AND THE RIGHT TO CERTAIN REMEDIES AND FORMS OF RELIEF. OTHER RIGHTS THAT ENTRANT, SPONSOR, PRIZE PROVIDER OR ADMINISTRATOR WOULD HAVE IN COURT ALSO MAY NOT BE AVAILABLE IN ARBITRATION.

All issues and questions concerning the construction, validity, interpretation, and enforceability of these Official Rules, or the rights and obligations of entrant, Sponsor, Prize Provider and Administrator in connection with the Sweepstakes, shall be governed by, and construed in accordance with, the laws of the State of New York, without giving effect to any choice of law or conflict of law rules (whether of the State of New York or any other jurisdiction), which would cause the application of the laws of any jurisdiction other than the State of New York.

12.  Severability: If the application of any provision of these Official Rules to any particular facts or circumstances shall for any reason be held to be invalid, illegal or unenforceable by a court, arbitration panel or other tribunal of competent jurisdiction, then (a) the validity, legality and enforceability of such provision as applied to any other particular facts or circumstances, and the other provisions of these Official Rules, shall not in any way be affected or impaired thereby; and (b) such provision shall be enforced to the maximum extent possible.  In addition, if any provision contained in these Official Rules shall for any reason be held to be excessively broad as to duration, geographical scope, activity or subject, it shall be construed by limiting and reducing it, so as to be enforceable to the extent compatible with applicable law.
